General terms of use.

1. Purpose

These General Terms of Use (the “Terms”) govern access to and use of the Mirink service, a SaaS platform for integrating print and textile suppliers with e-commerce shops, published by Raspberry Design SRL (“Mirink” or “we”).

They form a contract between Raspberry Design SRL and any natural or legal person acting in a professional capacity who uses the service (the “Customer” or “you”).

2. Acceptance

Use of the service implies full and complete acceptance of these Terms. The Customer acknowledges having read the Terms before any subscription and accepts them without reservation.

The service is intended exclusively for professionals (B2B). The creation of an account by a consumer within the meaning of the Belgian Code of Economic Law is not provided for.

3. Description of the service

Mirink provides a technical infrastructure enabling the Customer to connect their e-commerce shop (WooCommerce, Shopify, PrestaShop or other) to print and textile suppliers via API connectors.

Depending on the plan subscribed to, the service includes:

• Access to one or more supplier connectors;
• Technical checking of files (proofing);
• Recurring options (Proof Plus, MCP/LLM);
• One-off onboarding or setup services.

Details of the features and their prices are set out on the Pricing page. Mirink reserves the right to change the service at any time, without notice for minor changes and with reasonable notice for substantial changes.

4. BYOK model and supplier relationship

Mirink operates on a “Bring Your Own Keys” model: the Customer uses their own accounts and API keys with print and textile suppliers. Mirink acts neither as a reseller nor as a commercial intermediary between the Customer and their suppliers.

Accordingly:

• Commercial terms (prices, lead times, warranties) remain those negotiated directly between the Customer and each supplier;
• Mirink is not responsible for print quality, production or delivery times, or for errors or disputes attributable to the supplier;
• The Customer remains solely responsible for complying with their contractual obligations towards their suppliers.

5. Account and access

Access to the service requires the creation of an account. The Customer undertakes to provide accurate information and to keep it up to date. The Customer is responsible for the confidentiality of their login credentials and for any action carried out from their account.

Any suspicious or unauthorised use must be reported without delay to hellomirink.app.

6. Customer obligations

The Customer undertakes to use the service:

• In accordance with these Terms and all applicable regulations;
• In compliance with the rights of third parties (intellectual property, image rights, personal data of their own customers);
• Without diverting the service from its intended purpose (disguised resale of the service, technical attacks, circumvention of quotas, use for illegal or counterfeit products).

The Customer is solely responsible for the content (print files, catalogues, customer data) they transmit via Mirink and warrants that they hold the rights necessary for its use.

7. Pricing and payment

The prices in force are set out on the Pricing page. Unless otherwise stated, they are expressed in euros, excluding VAT.

Subscriptions are billed monthly, by automatic direct debit via our payment provider Stripe. The Customer authorises Raspberry Design SRL to collect the corresponding payments from the registered payment method.

In the event of a payment incident, access to the service may be suspended after a reminder that has remained unanswered for 7 working days.

One-off services (onboarding, Launch Pack, turnkey WooCommerce websites) are invoiced separately under the conditions agreed in the quote.

8. Term, termination and suspension

Mirink subscriptions are concluded without any minimum commitment period. The Customer may cancel their subscription at any time from their account or by email to hellomirink.app. Cancellation takes effect at the end of the current subscription month, without pro rata refund.

Raspberry Design SRL reserves the right to suspend or terminate access to the service in the event of:

• Serious breach of these Terms;
• Persistent non-payment;
• Use likely to compromise the security, integrity or availability of the service for other customers;
• Manifestly illegal use.

9. Service availability

Mirink undertakes to use reasonable means to ensure the availability of the service 24/7, subject to interruptions required for maintenance, technical changes and cases of force majeure.

No quantified service level agreement (SLA) is granted by default under standard subscriptions. A specific SLA may be agreed contractually for particular needs.

10. Intellectual property

The Mirink service, its code, brand, design and all its components remain the exclusive property of Raspberry Design SRL. Subscribing to the service grants the Customer a personal, non-exclusive and non-transferable right of use, limited to the duration of their subscription.

The Customer retains full ownership of the data and content they transmit via Mirink. The Customer grants Raspberry Design SRL a licence strictly limited to the performance of the service (processing, transmission to the chosen suppliers, technical storage).

11. Liability

Raspberry Design SRL uses reasonable means to ensure the quality of the service. It cannot be held liable:

• In the event of misuse of the service by the Customer;
• For the consequences of failures, delays or errors attributable to the print and textile suppliers to which the Customer connects;
• For indirect damage (operating loss, loss of revenue, loss of customers, damage to reputation);
• In the event of force majeure within the meaning of Belgian law.

In any event, and except in the case of gross negligence or wilful misconduct, the total liability of Raspberry Design SRL in respect of the service is limited to the sums actually received from the Customer during the twelve (12) months preceding the event giving rise to the claim.

12. Personal data

The processing of personal data is governed by our Privacy policy, which forms an integral part of these Terms.

For personal data that the Customer processes as controller and entrusts to us via Mirink (for example, the contact details of their own customers used for delivery), Raspberry Design SRL acts as processor within the meaning of the GDPR. The terms of this processing may be set out in a specific addendum on request.

13. Confidentiality

Each party undertakes to preserve the confidentiality of the other party's non-public information communicated in connection with the service, and to use it only for the purposes of performing the contract.

14. Changes to the Terms

Raspberry Design SRL may amend these Terms at any time. Substantial changes are notified to the Customer by email at least 30 days before they come into force. A Customer who does not accept the new terms may cancel their subscription before they come into force, without penalty.

15. Governing law and jurisdiction

These Terms are governed by Belgian law. Any dispute relating to their formation, interpretation or performance shall fall within the exclusive jurisdiction of the courts of the judicial district of Liège, notwithstanding multiple defendants or third-party claims.
